Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Sarenica website, the Sarenica desktop application, the Hydrogen AI agent, and any related services and integrations (collectively, the "Service"), provided by Sarenica ("Sarenica", "we", "us", or "our"). By creating an account, downloading the application, or otherwise accessing the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. By using the Service you represent that you meet this requirement and that you have the legal capacity to enter into these Terms. The Service is not directed to children, and we do not knowingly collect data from anyone under 13 years old (or under 16 in the EU/UK).
3. License to Use
Subject to your compliance with these Terms, Sarenica grants you a personal, revocable, non-exclusive, non-transferable, non-sublicensable, limited license to install and use the Service for your own personal performance, focus, and wellness self-tracking. All right, title, and interest in and to the Service, including the software, models, designs, prompts, the Hydrogen agent, and any outputs we generate, remain owned by Sarenica or its licensors. No rights are granted to you except as expressly stated in these Terms.
Sarenica is intended for individual self-tracking. It is not designed or licensed as employer surveillance, workforce monitoring, covert monitoring of another person, or any use that captures another individual's data without their informed consent.
4. Accounts, Plans, and Billing
The Service is offered through the following plans:
- Sarenica Desktop (Free): free, ongoing access to the Windows desktop tracker, local dashboard, and a starter quota of Hydrogen conversations. No card required.
- Hydrogen Monthly (Paid): recurring monthly subscription unlocking the Hydrogen AI agent, a monthly token quota, daily and monthly reports, and supported wearable integrations.
- Legacy plans: earlier plans such as Plus Lifetime may continue to apply to users who purchased them; the rights granted under those purchases continue as previously communicated.
Auto-renewal. Hydrogen Monthly automatically renews at the end of each billing period at the then-current price until you cancel. You can cancel anytime from Account → Billing, which opens our payment provider's hosted portal. Cancellation takes effect at the end of the current period; you keep paid access until then. Free desktop tracking continues regardless.
No refunds. All purchases are final and non-refundable, except where a refund is required by applicable law. See our Refunds & Cancellation policy for the full details. The Service includes a free tier and a free public Hydrogen demo so you can evaluate it before subscribing.
Pricing and quotas may change. We may add, remove, or change plans, prices, included conversation quotas, token allowances, model behavior, fair-use limits, and feature availability at any time. For active subscriptions, material price increases will be communicated before they take effect on your renewal; you may cancel before renewal to avoid the new price. Token amounts, monthly quotas, and rate limits are not contractual guarantees and may be adjusted to keep the Service sustainable.
Payment processing. Billing is handled by our payment provider, Paddle. By purchasing, you also agree to the payment provider's terms. Tax, currency conversion, and similar charges are handled by the payment provider in accordance with applicable law.
5. Changes to the Service
We may, at any time and at our sole discretion, modify, add, remove, suspend, or discontinue any part of the Service — including features, plans, free quotas, the Hydrogen agent's behavior or underlying model, integrations, supported platforms, or beta features — with or without notice. We are not obligated to maintain any particular feature or quota indefinitely. Where reasonable, we will give advance notice of changes that materially reduce paid functionality.
6. Acceptable Use
You agree not to, and not to allow others to:
- use the Service to monitor another person — including employees, students, or family members — without their informed, knowing consent;
- reverse engineer, decompile, disassemble, or attempt to extract source code, prompts, model weights, or training data from the Service, except where this restriction is prohibited by applicable law;
- use the Service to build a competing product or to train a competing AI model;
- circumvent rate limits, quotas, anti-abuse, or entitlement checks; share, resell, or sublicense access; or operate the Service on behalf of third parties without a separate written agreement;
- upload or transmit content that is unlawful, infringing, defamatory, malicious, or that violates third-party rights;
- use the Service in any way that violates applicable laws, regulations, sanctions, or export controls;
- interfere with the security, integrity, or performance of the Service or attempt unauthorized access to systems or other users' accounts.
7. Suspension and Termination
We may suspend, restrict, or terminate your access to the Service — including any paid subscription — at any time, with or without notice, if we reasonably believe you have breached these Terms, abused the Service or its quotas, engaged in fraudulent activity, or if continued provision creates legal, security, or operational risk. We may also terminate or change the Service generally as described in Section 5. Where we terminate a paid subscription for cause, we are not obligated to provide a refund except where required by applicable law.
You may stop using the Service at any time and may cancel a paid subscription as described in Section 4. Sections of these Terms that by their nature should survive termination will survive, including license restrictions, disclaimers, limitations of liability, indemnification, and dispute resolution.
8. Hydrogen AI Agent and Outputs
Hydrogen produces outputs based on your tracked signals and on third-party AI models. AI outputs are probabilistic and may be inaccurate, incomplete, biased, or out of date. You are responsible for evaluating outputs before acting on them. Hydrogen does not provide medical, psychological, legal, financial, or other professional advice and must not be relied on for those purposes.
The Service may use third-party AI providers, and we may change models, providers, prompts, behavior, or quality without notice. Outputs you receive are licensed to you for your own personal, non-commercial use. We may use de-identified or aggregated information to improve, evaluate, and safeguard the Service.
9. Wellness and Medical Disclaimer
Sarenica is a wellness and self-tracking tool. It is not a medical device, is not intended to diagnose, treat, cure, or prevent any disease or condition, and must not be used as a substitute for advice from a qualified healthcare professional. Always consult a clinician for any medical question, sleep concern, mental health concern, or before changing routines based on tracked patterns.
10. Third-Party Services
The Service relies on, and integrates with, third-party platforms — including but not limited to Microsoft Windows, the Microsoft Store, Paddle (payments), Google Cloud and Firebase (hosting and authentication), AI model providers, and wearable providers such as Fitbit. We are not responsible for outages, changes, or actions taken by those third parties. Your use of any third-party integration is also subject to that third party's terms.
11. Privacy and Data
Your use of the Service is also governed by our Privacy Policy. By using the Service, you acknowledge that we may collect and process information as described there, including for the purpose of providing, securing, and improving the Service.
12. Warranty Disclaimer
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", with all faults and without warranty of any kind. We expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranty of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, uninterrupted or error-free operation, or that defects will be corrected. No advice or information obtained from the Service creates any warranty not expressly stated in these Terms.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Sarenica and its founders, employees, contractors, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to the Service, regardless of the cause of action and even if advised of the possibility of such damages.
Our total aggregate liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you actually paid to Sarenica for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) USD 50. Multiple claims do not enlarge this limit. Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the smallest extent permitted by law.
14. Indemnification
You agree to defend, indemnify, and hold harmless Sarenica and its founders, employees, contractors, suppliers, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) content or data you provide or process through the Service.
15. Force Majeure
We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, third-party platform outages, infrastructure failures, internet or telecommunications failures, or pandemics.
16. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date above and, for material changes, provide reasonable additional notice (such as in-product notice or email). Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.
17. Governing Law and Disputes
These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. Subject to applicable mandatory consumer-protection laws of your country of residence, the courts of Bengaluru, Karnataka, India will have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service. Before initiating formal proceedings, you agree to first contact us at support@sarenica.com in good faith to attempt informal resolution.
18. Miscellaneous
- Entire agreement: these Terms and the Privacy Policy are the entire agreement between you and Sarenica regarding the Service and supersede any prior agreements on the same subject.
- Severability: if any provision is found unenforceable, the remaining provisions remain in full force and effect.
- No waiver: our failure to enforce any provision is not a waiver of that provision.
- Assignment: you may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.
- Notices: we may give notice through the Service, by email to the address on file, or by posting on the website.
